These Terms of Service ("Terms") govern your use of the Northspire Finance website (northspirefinance.com) and any related services offered by Northspire Finance, a division of Northspire Global Group LLC ("Northspire Finance," "we," "us," or "our").

1. Acceptance of Terms

By accessing our website, submitting a consultation request, or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

2. Description of Services

Northspire Finance offers the following services, subject to the specific scope described in your individual engagement letter:

  • Bookkeeping and financial reporting
  • Payroll processing and compliance
  • Financial advisory and fractional CFO services
  • New business financial setup
  • Tax preparation and planning
  • Accounting software setup and migration

Services are provided to small and medium-sized businesses located in the United States and Canada. Pricing is "from $X/month" โ€” the actual fee for your engagement depends on transaction volume, employee count, and the specific scope of work, and will be confirmed in your engagement letter.

3. Engagement Letter Controls

Your specific service relationship with Northspire Finance is governed by a separate written engagement letter that defines:

  • The scope of services
  • The fee, billing frequency, and any per-employee or volume-based charges
  • The period of service and termination rights
  • Mutual obligations and timelines

If there is any conflict between these Terms and your engagement letter, the engagement letter prevails for matters specifically addressed in it.

4. Fees and Payment

  • Monthly subscription fees are billed monthly in advance. Invoices are due upon receipt unless otherwise specified in your engagement letter.
  • Payroll add-on fees ($5 per employee/month for Advanced and Premium packages) are billed alongside your subscription fee or as a separate Stripe invoice each month.
  • One-time fees for setup, migration, catch-up bookkeeping, or other project work are quoted separately and billed per the terms in your engagement letter.
  • We accept payment by credit card and bank transfer where available, processed through our payment processor (Stripe).
  • Late payments may incur reasonable late fees and may result in suspension of services until brought current.
  • All fees are exclusive of applicable taxes (sales tax, HST, GST, VAT, etc.), which are added to invoices where required.

5. Client Responsibilities

To enable us to perform our services accurately and on time, you agree to:

  • Provide complete, accurate, and timely access to financial records, bank statements, payroll information, business documents, and accounting software.
  • Designate a point of contact who can authorize actions and respond to questions.
  • Notify us promptly of changes in your business that may affect our work (new bank accounts, change in entity structure, new employees, etc.).
  • Review the work we deliver in a timely manner and notify us of any concerns or corrections.
  • Maintain ultimate responsibility for the accuracy and completeness of the underlying information you provide to us.
  • Comply with all applicable tax, employment, and business laws โ€” Northspire Finance performs work based on the information you provide and is not responsible for matters outside the agreed scope.

6. Our Responsibilities

We will:

  • Perform our services with professional care, in accordance with applicable accounting standards (US GAAP, Canadian ASPE), tax regulations, and industry best practices.
  • Deliver monthly bookkeeping closes by the 15th of the following month, assuming we have all required documents.
  • Maintain the confidentiality of your business and financial information.
  • Communicate promptly any issues or matters that require your attention.
  • Use commercially reasonable efforts to maintain the security of information entrusted to us.

7. Confidentiality

All information you share with us in connection with our services is treated as confidential. We do not disclose your information to third parties except: (a) as needed to perform our services through the service providers described in our Privacy Policy; (b) as required by law, including responses to lawful information requests from tax authorities; or (c) with your explicit consent.

8. Intellectual Property

The Northspire Finance website, name, logo, and content are the property of Northspire Global Group LLC. You may not copy, reproduce, or use our materials without permission.

Work product we create specifically for you (bookkeeping records, financial statements, tax filings) belongs to you. Our internal templates, methodologies, and proprietary processes remain our property.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Our total aggregate liability for any claim arising from or related to our services is limited to the fees you paid us in the twelve (12) months preceding the event giving rise to the claim.
  • We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, or business interruption.
  • We are not liable for tax penalties, interest, or other consequences arising from inaccurate or incomplete information you provided to us, or from your failure to act on advice we have given.
  • We do not guarantee any specific tax outcome, audit result, or financial result.

Nothing in these Terms excludes liability that cannot be excluded by law (such as for gross negligence or willful misconduct).

10. Indemnification

You agree to indemnify and hold harmless Northspire Finance and its officers, employees, and agents from claims, damages, or costs arising from: (a) your breach of these Terms or your engagement letter; (b) inaccurate, incomplete, or fraudulent information you provided to us; or (c) your violation of any law in connection with your business.

11. Termination

Subscription services are month-to-month. Either party may terminate the engagement with 30 days' written notice, effective at the end of the following calendar month. There are no early-termination penalties.

We may terminate immediately for cause, including: non-payment after reasonable notice, failure to provide required information after reasonable requests, fraudulent or unlawful conduct, or other material breach.

Upon termination, we will: (a) deliver any work-in-progress that has been paid for; (b) return your financial records and provide access exports from accounting software; and (c) retain our copies of records as required by law.

12. Dispute Resolution

If a dispute arises, the parties agree to first attempt resolution through good-faith discussion. If discussion does not resolve the dispute within 30 days, the parties agree to attempt mediation before initiating any formal legal proceeding.

13. Governing Law

These Terms are governed by the laws of the state or province in which Northspire Global Group LLC is registered. The parties consent to jurisdiction and venue in the courts of that jurisdiction for any disputes not resolved through mediation.

14. Miscellaneous

  • Independent contractor: Northspire Finance provides services to you as an independent contractor. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between us. Neither party has authority to act on behalf of the other.
  • Entire agreement: These Terms, together with your engagement letter and our Privacy Policy, constitute the entire agreement between you and Northspire Finance.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in full force.
  • No waiver: Failure to enforce any right does not waive that right.
  • Assignment: You may not assign these Terms without our written consent. We may assign in connection with a merger, acquisition, or sale of assets.
  • Updates: We may update these Terms from time to time. The current version is always posted on this page. Material changes will be communicated to active clients by email.
